Due Diligence in Business Purchases

An important step in the business acquisition process is due diligence.  ‘Due diligence’ is really just a fancy term for asking questions and closely reviewing the responses (then sometimes asking even more questions).  The key though is making sure that you ask the right questions.

There are many types, shapes and sizes of businesses.  It is important to tailor your due diligence to the specific asset being acquired to ensure that you obtain the most relevant, accurate and valuable information that will allow you to make an informed decision and mitigate some of the risks associated with the purchase.

A good corporate lawyer will be able to assist with the preparation of a due diligence checklist that asks targeted questions to get to the heart of the information that a buyer needs.

Too many times you see a ‘cookie-cutter’ approach taken to these things via the use of a standard precedent checklist and when that happens unfortunately most of the time half of the due diligence questions end up being irrelevant, confusing or out of context.

At Baker Love Lawyers our commercial team have a wealth of experience in this area and have already assisted clients in undertaking due diligence in an array of different types of business acquisitions.

Our team of lawyers understands the value of good due diligence in order to protect potential buyers from unforeseeable legal or financial liabilities, help them negotiate better price and terms for a business, or even help them decide whether to proceed or walk away from a deal altogether.
